TERMS OF SERVICE

Effective Date: January 1, 2025

These Terms of Service (“Terms”) govern access to and use of all websites, digital platforms, communications, educational gatherings, membership tiers, and related materials offered by Guardians of Eden, a private membership association, doing business as Eden World (“Association,” “we,” “us,” or “our”).

By accessing our website, joining any membership tier, making a contribution, attending a virtual gathering, or participating in any Association activity, you agree to be bound by these Terms.

PRIVATE ASSOCIATION STATUS

Guardians of Eden operates as a private membership association.

Eden World is the public-facing name under which the Association communicates and provides access to its educational materials, membership tiers, and community initiatives.

Participation in any Eden World offering constitutes voluntary interaction with a private association.

Nothing herein creates a partnership, joint venture, employment relationship, fiduciary duty, or licensed professional relationship.

ELIGIBILITY

You must be at least eighteen (18) years of age to participate.

By engaging with the Association, you represent that you have the legal capacity to enter into binding agreements.

EDUCATIONAL PURPOSE

All materials, gatherings, discussions, and resources are provided for educational and community purposes only.

Nothing provided constitutes therapy, medical advice, mental health treatment, legal advice, financial advice, or licensed professional services.

The Association makes no representations or guarantees regarding specific personal, relational, financial, or business outcomes.

You are solely responsible for your decisions, interpretations, actions, and outcomes.

MEMBERSHIP TIERS AND ACCESS

Access to certain materials or gatherings may require enrollment in a specific membership tier.

Membership tiers grant revocable access privileges subject to compliance with applicable agreements.

The Association retains sole discretion over admission, continuation, suspension, and termination of access.

CONTRIBUTIONS AND PAYMENTS

Contributions for membership tiers, digital access, or gatherings are due as stated at checkout.

Payment plans are binding commitments.

Failure to participate does not relieve you of payment obligations.

If payment is not received when due, the Association may suspend or terminate access without notice.

Acceptance of partial payment does not waive the Association’s right to collect the full balance.

VOLUNTARY OFFERINGS

From time to time, the Association may invite voluntary offerings separate from defined membership contributions.

Voluntary offerings are not required and no additional goods or services are provided in exchange.

INTELLECTUAL PROPERTY

All materials, recordings, curriculum, designs, processes, digital content, and related assets are the exclusive property of the Association.

You receive a limited, non-transferable, revocable license to access materials for personal use only.

You may not reproduce, distribute, record, copy, share login credentials, or commercially exploit any materials without prior written consent.

CONFIDENTIALITY AND COMMUNITY STANDARDS

Participants agree to maintain the confidentiality of private member discussions and identities where applicable.

Unauthorized recording or distribution of private gatherings is prohibited.

The Association may suspend or terminate access for conduct that disrupts community integrity.

NON-SOLICITATION

Users may not use Association platforms to solicit, recruit, or promote competing services, programs, or communities without prior written permission.

Violation may result in suspension or termination of access.

DISCLAIMER OF WARRANTIES

All materials and access privileges are provided “as is” and “as available.”

The Association disclaims all warranties, express or implied, including fitness for a particular purpose.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Association’s total liability arising out of or relating to participation shall not exceed the total amount paid by you to the Association in the twelve (12) months preceding the claim.

The Association shall not be liable for indirect, incidental, consequential, or special damages.

INDEMNIFICATION

You agree to indemnify and hold harmless the Association and its officers, members, contractors, and affiliates from claims arising from your misuse of materials, violation of these Terms, or unlawful conduct.

INTERNAL RESOLUTION

Participants agree to attempt good faith internal resolution prior to initiating formal proceedings.

DISPUTE RESOLUTION

Informal Resolution
The Parties shall first attempt to resolve disputes through written notice and good faith discussion.

Mandatory Arbitration
Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in the State of Florida before a single arbitrator.

Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Class Action Waiver
All disputes must be resolved individually. Class or collective actions are not permitted.

Injunctive Relief
Either Party may seek injunctive relief in Florida courts for intellectual property violations, confidentiality breaches, or unauthorized access.

These dispute resolution provisions survive termination of participation or access.

GOVERNING LAW

These Terms are governed by the laws of the State of Florida.

MODIFICATION OF TERMS

The Association may modify these Terms prospectively.

Continued participation after updates constitutes acceptance.

SEVERABILITY

If any provision is held unenforceable, the remainder remains in full force and effect.

ACCEPTANCE

By accessing the website, joining any membership tier, or submitting payment, you acknowledge that you have read, understood, and agreed to these Terms.
